1. Introduction
These Terms of Service (“Terms”) govern access to and use of Bayleaf’s website, services, systems, and platforms, including Atlassian-based collaboration tools and the service status portal located at https://status.bayleaf.com.
By accessing or using these services, you agree to be bound by these Terms. Where services are used on behalf of an organization, the individual accepting these Terms represents that they have authority to bind that organization.
2. Services
Bayleaf provides services through two primary business areas: Development Services and Hosting and Managed Services.
Development Services include software development, consulting, and project delivery activities supported by platforms such as Atlassian Jira and Confluence. These tools facilitate planning, collaboration, issue tracking, and documentation.
Hosting and Managed Services include system monitoring, operational support, incident management, and performance reporting. As part of these services, Bayleaf provides access to a status portal that communicates service availability, incidents, and maintenance activities.
Detailed service scope, deliverables, and service levels are governed by separate agreements between Bayleaf and its clients.
3. Use of Services
Users agree to use Bayleaf services solely for legitimate business purposes and in accordance with applicable laws. Users are responsible for maintaining the confidentiality of their access credentials and for ensuring that access is restricted to authorized individuals.
Users must not attempt to access unauthorized systems or data, disrupt service operations, or use Bayleaf systems in a manner that could impair performance or compromise security.
4. Use of Systems and Platforms
In connection with service delivery, users may be granted access to systems including Atlassian Jira, Atlassian Confluence, and the Bayleaf status portal.
These systems must be used solely for their intended purposes. Users must not attempt to reverse engineer, extract, or misuse data or system functionality. Unauthorized access, data scraping, or sharing of credentials is strictly prohibited.
5. Third-Party Platforms
Bayleaf relies on third-party platforms, including Atlassian products, to support service delivery. These platforms are subject to their own terms and conditions and privacy policies.
While Bayleaf manages configuration and access within the scope of its services, the availability and performance of these platforms are dependent on third-party providers.
6. Confidentiality
Users agree to maintain the confidentiality of all non-public information obtained through use of Bayleaf services. This includes business information, technical documentation, system data, and any materials designated as confidential.
Such information may not be disclosed or used for purposes outside the scope of authorized engagement without prior consent.
7. Intellectual Property
All intellectual property rights in Bayleaf’s systems, platforms, documentation, and materials remain the property of Bayleaf or its licensors.
Users are granted a limited, non-exclusive, non-transferable right to access and use services in accordance with these Terms. No ownership rights are transferred.
8. Service Availability
Bayleaf makes commercially reasonable efforts to maintain service availability and reliability. However, services may be subject to interruptions due to maintenance, updates, or external factors beyond our control.
The status portal provides general service visibility but may not reflect real-time system conditions in all cases. Formal service level commitments are defined separately in contractual agreements.
9. Disclaimers
Services are provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied.
Bayleaf does not guarantee uninterrupted, error-free, or fully accurate operation of its systems or the status portal. Users should not rely solely on portal information for critical operational decisions without independent verification.
10. Limitation of Liability
To the fullest extent permitted by law, Bayleaf shall not be liable for indirect, incidental, or consequential damages, including loss of data, revenue, or business opportunities.
Bayleaf’s total liability arising from or related to the services shall not exceed the amount paid by the client for services in the twelve (12) months preceding the claim, unless otherwise agreed in writing.
11. Indemnification
Users agree to indemnify and hold Bayleaf harmless from claims arising out of misuse of services, violation of these Terms, or unauthorized use of systems.
12. Termination
Bayleaf reserves the right to suspend or terminate access to services in the event of violations of these Terms, security concerns, or legal requirements.
13. Governing Law
These Terms are governed by the laws of the Province of British Columbia, Canada. Any disputes shall be resolved in the courts of that jurisdiction.
14. Changes to Terms
Bayleaf may update these Terms periodically. Continued use of services following such updates constitutes acceptance of the revised Terms.
